These general terms and conditions apply to sales from IBECO AB, org.nr 556120-3828 to business customers in Sweden.
AA VVS 09, General Delivery Terms for plumbing and water and wastewater materials for professional use in Sweden, applies in full to the sale.
These terms supplement AA VVS 09. In the event of conflict, AA VVS 09 takes precedence. Deviations apply only if expressly agreed in writing between the parties.
AA VVS 09 is provided before the contract is entered into, by appendix or link. For deliveries outside Sweden, a separate agreement is made.
The validity period of the quotation is stated in the quotation. If no other validity period is stated, AA VVS 09 applies.
Orders are sent to IBECO via the agreed ordering channel. IBECO sends a written order confirmation with details of the order. The buyer is asked to check the details and report any discrepancies as soon as possible. The order confirmation does not in itself change an agreement already entered into.
Documentation intended only for budgeting and further discussion is explicitly marked as non-binding price indications.
Prices are stated excl. VAT and carriage unless otherwise expressly stated in the agreement.
The pricing provisions in AA VVS 09 apply. Any fixed prices or special price adjustment models must be agreed in writing.
Carriage is charged separately and specified on the invoice, unless otherwise agreed.
AA VVS 09 applies to product information, samples, technical documents, instructions and liability for design documentation provided.
The buyer is asked to state any special technical requirements, conditions of use and documentation needs before ordering, so that these can be taken into account in the agreement.
Standard payment terms are 30 days net from the invoice date for approved credit customers, unless otherwise agreed.
New customers may be subject to a credit check before credit is granted. For customers without approved credit, advance payment or another method of payment is agreed before the contract is entered into.
AA VVS 09 applies to invoicing, interest on late payment, withholding of payment and limitation periods. Statutory fees are charged to the extent that the conditions for these are met.
These general terms and conditions do not contain any general retention of title.
If special security for payment is to be provided, this is governed by a separate written agreement. Otherwise, the provisions of AA VVS 09 on anticipated breach of contract apply.
Delivery, transport, allocation of risk, receipt and goods-in inspection are governed by AA VVS 09.
IBECO books the transport. The buyer pays the carriage, unless otherwise agreed. The fact that carriage is charged to the buyer does not change the allocation of risk under AA VVS 09.
The delivery address and any special transport and receiving conditions must be stated when ordering.
AA VVS 09 applies to lead time, notification of delay, late-delivery penalties and other sanctions for delay.
IBECO's liability for defects, liability periods, claims and remedy is governed by AA VVS 09. Any warranties from the manufacturer supplement, and do not limit, the buyer's rights against IBECO under AA VVS 09.
Claims are sent to IBECO stating the order or invoice number, the product concerned and the nature and extent of the defect.
IBECO's special returns provisions apply to voluntary returns of faultless goods. These do not limit the buyer's rights in the event of defects or other breaches of contract under AA VVS 09.
The parties' liability, obligation to pay damages and limitations of liability are governed by AA VVS 09.
IBECO shall maintain the liability insurance prescribed in AA VVS 09.
AA VVS 09 applies to grounds for exemption, the duty to notify, extension of lead time and any cancellation.
Disputes and applicable law are governed by clause 63 of AA VVS 09.
